Constitution of CSAS
Chapter 1 General Provisions
   Article 1 Chinese Society for Anatomical Sciences (hereinafter referred to as the society) , abbreviations for: CSAS.
 Article 2 The society is an national academic organizations under the leadership of the Communist Party of China. It was composed of scientific and technical workers engaging in anatomy (including anthropology, cytology, embryology, histology, neural anatomy, human anatomy, tomographic images anatomy, comparative anatomy, clinical anatomy and regenerative medicine) voluntary and is lawfully registered. It is part of China Association for Science and Technology, a link connecting the Party, the government and the works engaged in anatomy, and an importance force in developing the important social science of anatomy.
   Article 3 Its purpose is to carry out the science and technology principle of the Party and the nation, abide by national constitutions, laws, regulations and social morals. It implements the policy of “A hundred flowers blossoming,” stick to the principle of democracy, carry out academic free discussion.We advocate the dialectical materialism and historical materialism. We persist in seeking truth from facts scientific and a fine style. We promote the practice of "respect knowledge, respect talent" and actively advocate the spirit of  "dedication, innovation, pragmatism, cooperation" of the spirit. We will unite and organize all scientific and technical workers to promote the development and prosperity of anatomical science and technology, to promote anatomy the popularization of science and technology , to promote the growth of anatomical technological talents, to promote the combination of science, technology and economy., to serve for the cosntruction socialist material and spiritual civilization, and to contribute to the accerlation of the realization of socialist modernization.
   Article 4 the institute is affiliated in the state ministry, accept the guidance and supervision of China association for science and technology and Ministry of Civil Affaris in the field of business and orgnization respectively.
   Article 5 the site: Beijing grabbing XiDaJie no.42 (zip code: 100710).
  Chapter 2 Business Scope
   Article 6 the scope of business:
   (1) Carry out the domestic and international academic exchanges in anatomy, promote the development of anatomy, popularize the knowledge of anatomy, propagate the scientific spirit, thought and methods in anatomy and promote its advanced technology.
(2) Edit, publish and issue book, periodicals and audio-visual products in anatomy.
   (3) Respond to the opinions and demands of members, and safeguard members' legal rights.
 (4) Upon the approval of competent departments, recommend anatomical talents, commend and award members, scientific workers and groups who obtain achievements in anatomy.
 (5) Take part in the formulation of national policy in anatomical teaching, scientific policies, the development strategy of science and technology, related laws and regulations, as well as the works in making scientific decisions.
 (6) Provide scientific verification and scientific verification in the important anatomical decisions in national economic construction, and provide suggestions.
 (7) Accept scientific evaluation of anatomy projects, appraisal of scientific and technological achievements, qualification appraisal of technical positions entrusted by the government and China Society and Technology Association; organize and hold anatomical exhibitions, edit and publish scientific and technical literature and criteria, and provide technical consult and service in anatomy.
 (8) Promote international scientific and technological cooperation in civil anatomical field.
   (9) Conduct continuing education and training work to members and anatomical technology personals.
   (10) Other works.
  Chapter 3  Members
   Article 7 SAEFI have personal membership, group members, foreign members. Individual membership is the subject of the society.
 Article 8 anyone who supports the constitution, has the wish to join the society and  a certain ability in this field can apply for membership voluntarily. Specific conditions are as follows:
 (1) individual member: (1) technical personnel with technical positions as assistant researcher, lecturer, doctors-in-charge and competent technicians title and above titles, (2) scientific and technological personnel with Master’s Degree, (3) managerial workers who are enthusiastic and will actively support the society, (4) scientific personnel with Chinese nationality, who reside abroad or in Hong Kong or in Macau and have meet the above requirements can also apply for membership.
 Group members: any enterprises, institutions and lawfully-established academic societies can apply for group membership, as long as it has certain technical personnel, is willing to participate in relevant activities, and support the scientific activities, teaching, production and design of the society.
 (3) foreign member: any foreign technology workers who have made academic achievements, be friendly to our country and are willing to participate in the activities, exchanges and cooperation of our society.
   Article 9 Admission Procedures:
 (1) individual member: must apply by letter, be introduced by two members, or recommended by municipal or provincial academic society or our secondary branches, and be approved by the general council of the society.
 Group members: the group must apply by letter, introduced by two members and approved by the general council of the society.
 (3) foreign member: must apply by letter, be introduced by two members, approved by the general council of the society, and submitted to the China association for science and technology for verifying and filing.
   Article 10 the rights of members:
 (1) individual member: (1) the right to elect, be elected, and vote; (2) the right of suggestion, comment, supervision and the right for knowledge over the society; (3) the priority to participate in the academic conferences and activities of the society; (4) the priority to obtain relevant academic material; (5) participate in activates of choosing excellent papers and awards; (6) participate in international visit, investigation, conferences and study organized by the society; (7) it is the member’s right to join in and quit the society voluntarily.
 group members: (1) the priority to participate in the relevant activities; (2) the priority to obtain relevant academic material; learned (3) may request technical consultation from the society; (4) request society to hold training courses;(5) assist the society in carrying out related academic and science popularization activity; (6) it is the member’s right to join in and quit the society voluntarily.
   (3) foreign member: (1) the priority to obtain journals and relevant material published by the society; (2) can be invited to attend domestic conferences; (3) can be invited to participate in the international conferences; (4) it is the member’s right to join in and quit the society voluntarily.
   Article 11 the obligations of members:
   (1) Abide by the constitution of the society;
   (2) carry out resolutions of the society;
    (3) Safeguard the honor and legal rights of the society;
   (4) support our work and finish the work assigned by the society;
   (5) Actively participate in the activities of the society;
   (6) pay membership dues on time;
   (7) report information to the society and provide relevant materials.
 Article 12 members who withdraw the society shall notify the society by letter, and return the membership card. Member who don't pay membership fees for two consecutive years or not participate in this group activities (those who does not pay membership fees or those who does not participate in the activities for one year will be notified by the society) will be considered as withdrawing membership automatically.
 Article 13 Those who break the law or violate the constitutions of the society seriously will be expelled from the society after the approval of the general council of the society.
   Chapter 4 organization and the produce and recall of principals
   Article 14 of the highest authority is the national members’ assembly. Its authority is:
   (1) Formulate working policy and tasks of the society;
   (2) Consider work reports and the financial report of the society;
   (3) Formulate and revise the constitution;
   (4) Elect and dismiss committees,
   (5) Hold academic activities and approve bills;
   (6) Decide on the termination;
   (7) Decide on other major issues.
 Article 15 The national congress of the members can be held only when more than two-thirds of the representatives are present can its resolution shall be convened upon the approval of half of the representatives present at the meeting.
   Article 16 The tenure of the representatives of the national congress of the members is 4 years for every term. The congress can be held in advance or delay under special circumstances. But the longest deferrable time should be no more than one year, and it must subject to the business department and the registration administration organ for approval.
 Article 17 the council is elected by the national congress of the members via democratic consultation and the secret ballot. The council candidate will be scientific and technical workers with academic achievement, decency, and enthusiastic to work for the society or technical managerial workers who support the work of the society enthusiastically. The council composition should embody the combination of old, middle-aged and young generations, carry out its duties carefully. The council is the executive agency of the national congress. It is in charge of  the daily work for the society when the national congress is not in session and is responsible for he national congress of the members.
   Article 18 the authority of the council:
   (1) execute the resolution of the national congress of the members;
   (2) elect and dismiss chair and vice chair, general secretary, and standing director;
   (3) Prepare to hold the national congress of the members;
   (4) to the national congress of the members and financial reporting work condition;
   (5) Decide on the establishment of administrative office, subsidiaries, agencies and entity institution,
   (6) Decided on the employment of deputy secretary-general, major person-in-charge of agencies; be responsible for raising activity funds; lead all agencies to carry out work;
   (7) Decide on the admission and expulsion of members;
   (8)Decide on internal management system;
   (9) Decided other significant issues.
 Article 19 The council can be held when over two-thirds of the directors are present, and the resolutions can be convened upon the approval of more than two-thirds of the representatives present at the meeting.
 Article 20 the council should hold a meeting at least once a year, and telecommunication can be used as a method under special circumstances.
 Article 21 the council establishes the standing council. The standing council is elected by the council and exercise the 1st,3rd,5th,6th,7th,8th clauses of article 18 when the council is not in session. It should be responsible for the council (the number of standing directors should be less than the one third of the number of members).
 Article 22 The standing council can hold meeting when two-thirds of the standing directors are present and its resolutions can be convened upon the approval of more than two-thirds of the standing directors present at the meeting.
 Article 23 the standing council should hold two meeting every year, and telecommunication can be used as a method under special circumstances.
   Article 24 the council's chair and vice chair, secretary general, standing director must meet the following conditions:
   (1) a director of the society;
   (2) Stick to the Party's lines, principles and policies, be with strong organizational ability, good political quality and decent manners;
   (3) Have greater influence in the business of the society, be eager to work, and be pragmatic;
 (4)The age of chair and vice chair shall not be above 70 years old; the age of secretary-general shall not be above 65 years old. Secretary-general works full-time. When the general secretary works part-time, the society will appoint a full-time vice general secretary.
   (5) Be healthy and to be able to continue the normal work;
   (6) No organizational disciplinary action or criminal punishment;
   (7)Be with full capacity for civil conduct.
 Article 25 When the director, vice director of office, secretary general exceeds the maximum age, if it’s necessary for them to continue their work, it should be discussed and approved by the council, submitted to the competent department for examination. After the approval of the registration and administration body, they can take office.
 Article 26 The chair, vice chair, secretary general term shall not exceed two sessions of four years for each session). If they are to continue their work, it should be approved by two-thirds of the members of the general congress, submitted to the competent department for examination. After the approval of the registration and administration body, they can take office.
 Article 27 The director of the society is its legal representative. Under special circumstances, the vice director or general secretary can be appointed as legal representatives by the director after the approval of the council or the general council, the examination of competent department and the approval of of the registration and administration body. The legal representative shall not concurrently assume other organization's legal representative.
   Article 28 The director shall exercise the following powers:
   (1) Convene and preside over the national congress of the members, the council, and the general council;
 (2) check the implementations of the resolutions of the national congress of members, of the council and general council;
   (3) Sign relevant important documents on the behalf of the society.
  Article 29: The general secretary shall exercise the following powers:
  (1) Preside daily work of the society, submit and organize the implementation of the annual work plan of the council.
   (2) Coordinate various branches, agencies, entity institution to carry out their work.
 (3) Nominate deputy secretary-general and recruit main person in charge in agencies, branches.
   (4) Deal with other daily affairs.
  Chapter 5  principles of managing and using assets
   Article 30 the funding sources:
  (1) Government or superior departments allocate funds;
   (2) Funds and donations from domestic and foreign unit, group and individuals;
   (3) The income of business activities or services in legal scope;
   (4) Membership fee;
   (5) Fund and interest of the society;
   (6) Other legitimate income.
   Article 31 The society collects membership dues in accordance with relevant national regulation.
   Article 32 The funds must be in business and the developmental cause as stated in article 30, and shall not be distributed among members.
   Article 33 The society has strict finance management system, and ensures that the accounting information is lawful, true, accurate and complete. It makes report to the treasurer accounts regularly, and shares the accounting information.
   Article 34 the society is equipped with professional accounting personnel. Accounting shall not concurrently hold the position of cashier. The accountant must conduct accounting. When accounting personnel transferring leaves, he/she must finalize the handing-over procedures.
   Article 35 The society must implement state regulations of financial management system in managing its assets, accept the supervision of the national congress of the members and financial departments. Assets that originated from government appropriation or social donation and sponsorship must be subject to the supervision of audit organs. And the relevant information should be made public in an appropriate manner.
 Article 36 The society must accept the financial audit of the registration administration organ and the competent department before the change of sessions and legal representative.
   Article 37 No unit or individual is allowed to occupy, pocket or embezzle the assets of the society.
 Article 38 Full-time personals of the society belong to Chinese Medical Association and are managed according to the nature of its formation . The society trains its full-time personals in an organized and designed way, improve their quality and efficiency. The society shall care about the political and economical treatment of these personals. The review of their technical title is administrative by the Chinese Medical Association and they enjoy the same rights as works of CMA.
  Chapter 6  Procedures for modifying articles
 Article 39 The amendment of constitution can be valid only after the vote of the council (or the standing council) and the approval of the national congress of the members.
 Article 40 The modification of the constitution shall be reported to competent departments for examination and corporate registration administration organ for check and approval within 15 days after the approval of the national congress of the members. Then it can take effect.
   Chapter 7 Termination procedure and disposal of property after termination
 Article 41  If the society is to be terminated because of its finishing its purpose, its voluntary dissolution, discrete or consolidation, it is the council that shall propose the motion of termination.
   Article 42 The termination motion must be approved by the national congress of the members through voting, and submitted to the competent department for approval.
 Article 43 Before the society is terminated, it should establish a liquidation organization under the guidance of competent departments and relevant organizations to finish the liquidation and handle problems arising possibly. During the liquidation, it can not conduct activities except liquidation.
 Article 44 The society will be terminated after conducting termination procedures in the registration administration.
 Article 45 According to relevant state regulations, the remaining property after the termination will be used for developing causes which are related with the society under the supervision of the competent business unit and corporate registration administration organ.
   Chapter 8  Supplementary Provisions
Article 46 The constitution is approved by the 11th National Congress of Members on October 28, 2006 after discussion and vote.
   Article 47  The power of interpretation of the constitution belong to the general council.
 Article 48  The constitution takes effect upon the approval of the registration administration organ.
